Agreement
These Terms of Service ("Terms") govern your access to and use of the Cutout website (cutoutagency.com) and the services provided by Cutout ("Cutout," "we," "us," or "our"). By using the site or engaging our services, you agree to these Terms. If you're entering into these Terms on behalf of a company, you represent that you have authority to bind it. Any client engagement may also be governed by a separate written agreement or order form, which controls if it conflicts with these Terms.
The Service
Cutout is a subscription-based creative production studio. We produce static ad creative (still product imagery for ecommerce brands) directed by a human creative. We do not produce video, and we do not provide ad management, media buying, or campaign management of any kind. Our role is limited to producing the creative assets described in your subscription tier.
Subscriptions, Billing & Cancellation
Services are offered on a monthly, month-to-month subscription. Fees are billed in advance each billing cycle for the tier you select. You may cancel at any time; cancellation takes effect at the end of the current paid month, and you retain access to that month's remaining allotment. We don't provide prorated refunds for partial months unless required by law or expressly agreed in writing.
Deliverables & Revisions
Your tier defines a monthly asset allotment. For clarity, one "asset" means one finished static in one format sized for one placement. Each tier includes a set number of revision rounds per asset, as described at the time of purchase. Requests beyond your tier's allotment or revision rounds may require an upgrade or additional fees. Unused monthly allotment does not roll over to future months unless stated otherwise.
Intellectual Property & Usage Rights
Upon full payment for the applicable billing cycle, you receive usage rights to the final delivered assets for your marketing and advertising. You retain all rights in the product, brand, and materials you provide to us. Unless we agree otherwise in writing, Cutout may display delivered work in its portfolio, case studies, and "Hits" showcase, and retains ownership of its underlying tools, templates, and processes.
Client Responsibilities
To let us do our best work, you agree to provide accurate product information, brand assets (logos, colors, guidelines), reference materials, and any necessary source images, plus timely feedback and approvals. Delays in providing materials or approvals may affect delivery timelines. You represent that you have the rights to any materials you supply and that our use of them won't infringe third-party rights.
Acceptable Use
You agree not to misuse the site or services, including attempting to disrupt or gain unauthorized access to our systems, using the services for unlawful purposes, or submitting materials you don't have the rights to. You also agree not to use delivered assets in a way that is deceptive, defamatory, or unlawful.
Disclaimers & Limitation of Liability
The website and services are provided "as is" and "as available," without warranties of any kind, express or implied. We do not guarantee any particular advertising, sales, or performance result from the creative we deliver. To the fullest extent permitted by law, Cutout will not be liable for indirect, incidental, or consequential damages, and our total liability arising out of or relating to the services will not exceed the amount you paid us in the three months preceding the claim.
Changes to Terms
We may update these Terms from time to time. When we do, we'll revise the "Last updated" date above. Material changes will be communicated where reasonable, and your continued use of the site or services after changes take effect constitutes acceptance of the updated Terms.
